User Agreement for FashX

Welcome to FashX, a mobile application owned and operated by NYI Inc. ("we," "us," or "our"). This User Agreement ("Agreement") governs your use of the FashX application (the "App") and the services offered through the App.

By downloading, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the App.

1. Acceptance of Terms

By using the App, you affirm that you are of legal age to enter into this Agreement or, if you are not, that you have obtained parental or guardian consent to enter into this Agreement.

2. Image Rights and Responsibilities

2.1 Grant of Image Rights

By uploading images of yourself to the App, you grant NYI Inc. full and unrestricted rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such images throughout the world in any media, for any purpose, without compensation to you.

2.2 Prohibition on Using Others' Likenesses

You agree not to upload, use, or share images of any other person within the App. Doing so may result in immediate termination of your account and ban from using the App.

2.3 Legal Responsibility

You accept full legal responsibility for any unauthorized use or sharing of other people's images through the App. NYI Inc. disclaims all liability for such unauthorized use.

3. Intellectual Property Rights

3.1 Brand Attribution

When sharing images from the App on social media or other platforms, you must properly attribute the brand and intellectual property of the clothing items you are virtually trying on.

3.2 Prohibition on Relabeling

You may not relabel or misattribute any clothing items to brands other than those accurately represented in the App.

3.3 Legal Responsibility for IP Infringement

You accept full legal responsibility for any intellectual property infringement resulting from improper attribution or relabeling of clothing items in shared images.

4. Account Termination

We reserve the right to terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement.

5. Disclaimers and Limitations of Liability

The App is provided on an "as is" and "as available" basis. NYI Inc. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

7. Changes to this Agreement

We reserve the right to modify or replace this Agreement at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
